Private Unincorporated Associations

An unincorporated association (UA) is a private entity that can operate  available to women and men who wish to keep their property and activities as simple, untangled, and in the private as possible.


In this post-1933 commercial realm, UA's provide a legal, lawful opportunity to create your own "game piece", a bit like your own "Top Hat" for Monopoly, which is recognized by the Secretary of State as a private entity, and may obtain an EIN number from the IRS that is exempt from any filing requirements.

Unlike corporations, LLCs, and various trusts which remain tied to a social security number, UAs are considered separate, private entities as per each UA's Articles / Bylaws;

  • Control : As a directing member of the association, you have final say over all transactions and activities related to association assets;

  • Privacy: The association is not publicly listed, ensuring complete privacy;

  • Asset Management: Assign ownership of property (vehicle, house, bank account, etc.) to the association (via states that recognize UAs as separate legal entities) to limit / eliminate personal liability;

  • Ease: Assets can be easily managed, controlled, transferred, and sold on behalf of the association, while not being subject to taxes and fees;


  • Documentation: Articles and Bylaws of Association... banking resolution minutes to open up bank and financial accounts with ease;

 

  • Minimal Ongoing Costs: Lifetime registration with no annual fees (Corporations and LLC’s are $800+ per year);

  • Will & Testament: Keep it simple and easy, ensuring control of all association property and assets will be passed seamlessly to an assignee assuming your membership position(s) of control over the association(s).

The characteristics of an unincorporated association in common law jurisdictions arise almost exclusively from case law, rather than from legislation.
Their legal basis is the general law of contract (including contracts of agency), which governs the agreements the members make with each other. Unincorporated associations are therefore entirely private concerns.

California Corporations Code § 18035
(a) “Unincorporated association” means an unincorporated group of two or more persons joined by mutual consent for a common lawful purpose, whether organized for profit or not.

A member, director, or agent of a nonprofit association is not liable for a debt, obligation, or liability of the association solely by reason of being a member, director, officer, or agent.
